1. Definitions

Throughout these Terms and Conditions, the following terms carry the meanings set out below:

• "Firm" / "We" / "Us" / "Our" refers to Nakara Advocates, registered and operating at 145/16 Mittraphap Road, Nai Mueang, Nakhon Ratchasima 30000, Thailand.
• "Client" / "You" / "Your" refers to any individual, family unit, or legal entity that engages our services or uses this website.

• "Engagement" means the formal working relationship established between the Firm and a Client following acceptance of a service proposal or retainer letter.

By using this Website or by submitting an enquiry or entering into an engagement with the Firm, you confirm that:

3. Service Description

Nakara Advocates provides family legal services in Thailand, including:

• Cohabitation Agreement Drafting — preparation of written agreements addressing property, financial contributions, and related arrangements for unmarried couples;
• Family Court Procedural Representation — professional representation in family court proceedings, including preparation of written materials, attendance at hearings, and coordination with court officers;
• Cross-Generational Family Matter Counsel — structured advisory engagements addressing guardianship, succession, and multi-generational family arrangements.

Our services are directed primarily at individuals and families residing in or subject to Thai jurisdiction. The Firm does not represent that its services are appropriate for or available to clients in other jurisdictions without prior consultation.

4. Client Responsibilities

Clients are responsible for the following throughout any engagement:

• Accuracy of information: Providing complete, accurate, and timely information as requested by the Firm. The quality of advice rendered depends materially on the information provided.
• Responsive communication: Responding to correspondence and requests within agreed timeframes. Delays attributable to a client may affect the progress and outcome of an engagement.
• Lawful use: Using the Website and the Firm's services only for lawful purposes and in a manner consistent with all applicable Thai laws and regulations.
• Prohibited conduct: Clients must not misrepresent their identity or instructions, submit false or misleading information, or seek to use the Firm's services in furtherance of any unlawful purpose.
• Website use: Use of the Website is permitted for personal, non-commercial purposes only. Reproduction, republication, or commercial use of Website content is not permitted without prior written consent.

5. Intellectual Property

All content appearing on this Website — including text, formatting, structure, and design — is the property of Nakara Advocates or its licensors. Nothing in these Terms grants you any ownership rights in respect of such content.

You are granted a limited, non-exclusive, non-transferable licence to access and view Website content for personal, informational purposes only. This licence does not extend to reproduction for distribution, adaptation, or use in any commercial context.

Documents and materials produced for a client in the course of an engagement remain subject to any ownership terms set out in the relevant engagement letter. In the absence of express written agreement, copyright in work product prepared by the Firm vests initially in the Firm and passes to the client upon settlement of all fees in respect of that engagement.

6. Payment Terms

Fee structures for each service are set out on the Website and confirmed in engagement correspondence. Published fees are in Thai Baht (฿) and are subject to change without notice for engagements not yet formally accepted.

• Payment methods: Bank transfer and other methods as confirmed at engagement commencement. Payment details will be communicated directly to the client.
• Timing: An initial deposit may be required before work commences, with the balance payable on completion or at agreed milestones. Specific payment schedules will be set out in engagement correspondence.
• Late payment: Invoices not settled within the agreed period may result in suspension of work until payment is received. The Firm reserves the right to charge reasonable interest on overdue amounts in accordance with applicable Thai law.
• Refunds: Fees paid in respect of work already performed are not refundable. Where an engagement is terminated before completion, fees are payable in proportion to the work completed at the date of termination.

7. Engagement Terms

Each engagement with Nakara Advocates is governed by a combination of these Terms and any specific terms communicated in the engagement letter or service agreement.

• Scope: The scope of each engagement will be defined at the outset and confirmed in writing. Work outside the agreed scope may be subject to additional fees.
• Timelines: Estimated timelines are provided in good faith. The Firm will communicate any anticipated changes to timelines as soon as reasonably practicable.
• Confidentiality: The Firm maintains strict confidentiality in respect of all client information. Client information will not be disclosed to third parties except as required by law, court order, or with the client's written consent.
• Conflict of interest: The Firm will advise you if any actual or potential conflict of interest arises in connection with your matter. Where a conflict cannot be managed, the Firm may decline to act or may cease to act.

8. Disclaimers

To the extent permitted by Thai law, the Firm's total liability in connection with any engagement or use of this Website is limited to the fees actually paid by the client in respect of the relevant engagement.

The Firm is not liable for indirect, consequential, or incidental loss arising from the use of this Website or from any engagement, including but not limited to loss of business, loss of income, or loss of anticipated savings.

Nothing in these Terms operates to limit or exclude liability for fraud, or for any liability that cannot lawfully be excluded under Thai law.

10. Indemnification

You agree to indemnify and hold harmless Nakara Advocates and its personnel from and against any claims, damages, costs, or expenses arising from:

• your breach of these Terms;
• inaccurate or incomplete information provided to the Firm; or
• your use of the Website in a manner that is unlawful or contrary to these Terms.

11. Termination

Either party may bring an engagement to a close by written notice to the other. The Firm may cease acting in any engagement immediately if a client provides false or misleading information, fails to follow reasonable instructions, or acts in a manner inconsistent with professional obligations.

Upon termination of an engagement, fees are payable for work completed up to the date of termination. The Firm will take reasonable steps to assist with the transition of the matter to another practitioner on request.

Terms that by their nature survive termination — including confidentiality obligations, payment obligations, and the limitation of liability — remain in force after an engagement ends.

12. Dispute Resolution

These Terms and any engagement with Nakara Advocates are governed by the laws of Thailand. The courts of Thailand have non-exclusive jurisdiction over any dispute arising from or in connection with these Terms.

In the event of a dispute, both parties agree to first attempt resolution through direct, good-faith discussion. If the matter cannot be resolved informally within 30 days of written notice, either party may refer the dispute to the courts of Nakhon Ratchasima Province, or to mediation if both parties agree in writing.

Clients who have concerns about the conduct of an engagement are encouraged to raise them directly with the Firm at the earliest reasonable opportunity.

13. General Provisions

• Entire Agreement: These Terms, together with any engagement-specific documentation, constitute the entire agreement between the Firm and the client on the matters they address.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
• Waiver: Failure by the Firm to enforce any provision of these Terms does not constitute a waiver of its rights in respect of future breaches.
• Assignment: You may not assign your rights or obligations under these Terms without the prior written consent of the Firm. The Firm may assign its rights in connection with a firm restructure or merger.
• Notices: Formal notices should be sent by email to [email protected] or by post to the Firm's registered address.

14. Changes to Terms

The Firm may revise these Terms from time to time. When changes are made, the updated Terms will be published on this page with a revised "Last Updated" date. Continued use of the Website or the Firm's services after revised Terms have been published constitutes acceptance of the changes.
